A) LOUD - Freestanding bags usually rock and shimmy around during abuse, even if they are on a padded floor, they can cause lots of unnecessary noise. Even with a padded base, they cause more noise than a hanging bag.
B) Damage floors - As referenced above, unless you have the bag stand sitting on some rubber pad or something, as the bag moves around it is possible to scuff the floor/rip the carpet.
C) Floor/Wall vibrations - Any bag can cause vibrations in the surrounding structure, but if you search some threads on freestanding bags, you'll hear numerous concerns about vibration (mostly in the case of people having landlords). With a hanging bag, a spring helps absorb alot of the vibrations. Also, if you're using a bag stand, it has a wider base, which prevents too much weight and movement in one spot.
D) Investment - Ask around the board, I'm not sure if anyone who regularly used a freestanding bag had it last more than a year. The warranties aren't that great either, so once it starts to break, if you don't know a handy man, you could quickly be out of a decent sized investment.
And all of that is before the practical reasons. Larger area allows for more types of strikes (Try a flying knee on a freestanding bag...). Less weight/density so it doesn't have as good of a feel to striking it.
