Add one potentially significant difference, which is that Sherk may have a personal driving grudge in this match to make it a point to finish an exhausted Penn, due to the excessive personal attacks and a need to redeem the steroid issue, whereas without all that he may have been content to simply lay on him ala Franca all the way through to the end.
I really see Sherk taking this one.

That's reasonable. I say this is pretty much every BJ fight: If BJ fights his best, he'll win, doesn't matter if it's GSP or whoever, when he's at his best, he's the best in the world...Sherk needs to take BJ out of his game, and it's seems hard for me to pick Sean when that means getting him tired...he's pretty much relying on BJ getting tired and that alone. He's the inferior fighter, even in wrestling IMO.
